Stockholders at The Dow Chemical Company's 111th Annual Meeting today re-elected Arnold A. Allemang, Jacqueline K. Barton, James A. Bell, Jeff M. Fettig, Barbara Hackman Franklin, John B. Hess, Andrew N. Liveris, Geoffery E. Merszei, James M. Ringler, Dennis H. Reilley, Ruth G. Shaw and Paul G. Stern to the Company's Board of Directors for one-year terms.
Biographies for all directors may be found in the Proxy Statement or on www.dowgovernance.com. Independent directors comprise the substantial majority of the Board.
After the Annual Meeting, the Board elected company officers. The officers elected were: Andrew N. Liveris, president, chief executive officer and chairman of the Board; Geoffery E. Merszei, executive vice president and chief financial officer; Michael R. Gambrell, executive vice president, Basic Plastics and Chemicals, Manufacturing and Engineering; Heinz Haller, executive vice president, Performance Plastics and Chemicals; David E. Kepler, executive vice president, chief sustainability officer, chief information officer, Shared Services; Charles J. Kalil, executive vice president, Law and Government Affairs, general counsel and corporate secretary; William F. Banholzer, executive vice president and chief technology officer; Julie Fasone Holder, senior vice president, chief marketing sales and reputation officer; Gregory M. Freiwald, senior vice president, Human Resources, Corporate Affairs and Aviation; Fernando Ruiz, corporate vice president and treasurer; William H. Weideman, vice president and controller.
Other officers elected by the board were Douglas J. Anderson, corporate auditor; William L. Curry, assistant secretary; W. Michael McGuire, assistant secretary; and Thomas E. Moran, assistant secretary.
On other agenda items at the Annual Meeting, Dow stockholders:
- ratified the appointment of Deloitte and Touche LLP as the Company's independent auditor for 2008, and
- rejected four proposals submitted by stockholders.
There were approximately 876 stockholders attending in person. The meeting was also available via audio webcast on the Internet.
