Dow Announces Results from Annual Stockholder Meeting

Midland, MI - May 14, 2009

Stockholders at The Dow Chemical Company's 112th Annual Meeting today re-elected Arnold A. Allemang, Jacqueline K. Barton, James A. Bell, Jeff M. Fettig, Barbara H. Franklin, John B. Hess, Andrew N. Liveris, Geoffery E. Merszei, James M. Ringler, Dennis H. Reilley, Ruth G. Shaw and Paul G. Stern to the Company's Board of Directors for one-year terms.  Biographies for all directors may be found in the Proxy Statement or on www.dowgovernance.com. Independent directors comprise the substantial majority of the Board.

Dow stockholders also ratified the appointment of Deloitte and Touche LLP as the Company's independent auditor for 2009. 

In other business, preliminary results on stockholder proposals indicate the following: stockholders approved a proposal requesting that common stockholders owning 10% of the outstanding shares be provided the ability to call a special meeting and a proposal requesting an advisory vote on executive compensation; stockholders rejected proposals on cumulative voting, executive stock retention and environmental remediation in the Midland, Michigan area. 

Neither the proposal on special meetings nor the proposal on an advisory vote on executive compensation received a majority of votes from shares outstanding.  However, the Company’s Board said that it will consider the outcome of these non-binding proposals in its ongoing review of Dow’s corporate governance practices.

The final voting results from the five stockholder proposals will be available at www.dowgovernance.com after certification by the Company’s inspector of elections in approximately one week.
